Akamai Technologies Announces Pricing of $3 Billion Convertible Senior Notes Offering
Akamai Technologies, Inc. announced the pricing of its private offering of $1.5 billion of 0% convertible senior notes due 2030 and $1.5 billion of 0% convertible senior notes due 2032. The notes will be sold to qualified institutional buyers and are expected to close on May 22, 2026. Akamai intends to use the net proceeds to fund capital expenditures for its Cloud Infrastructure Services business and for general corporate purposes, with a portion also used for share repurchases. The offering was upsized from the previously announced $2.6 billion. The notes will be convertible into Akamai common stock at initial conversion prices representing premiums of approximately 42.5% and 35.0% over the May 19, 2026 closing price.
