AMD Announces Fiscal 2023 Executive Incentive Plan Bonuses and Bylaw Amendments

(AMD) announced the approval of annual cash performance bonuses under its Executive Incentive Plan (EIP) for its executive officers for Fiscal 2023. These bonuses are expected to be paid in March 2024. Additionally, the Company's Board of Directors approved and adopted an amendment and restatement of the Company's amended and restated bylaws, establishing certain requirements and procedures for stockholder-called special meetings and incorporating certain technical, modernizing, clarifying, and conforming changes. The amended bylaws are attached as Exhibit 3.1 to this Current Report on Form 8-K.
