Amazon Shareholders Approve Director Elections and Auditor Appointment
On May 21, 2025, Amazon.com, Inc. held its Annual Meeting of Shareholders where all nominated directors were elected and the appointment of Ernst & Young LLP as independent auditors was ratified. Shareholders also approved the compensation of named executive officers but rejected several proposals including a mandatory policy separating the roles of CEO and Chair of the Board, a report on advertising risks, alternative emissions reporting, additional reporting on the impact of data centers on climate commitments, an assessment of Board structure for oversight of AI, a report on packaging materials, warehouse working conditions, and data usage oversight in AI offerings.
