Amphenol Corporation Issues New Senior Notes for Acquisition Funding
Summary
On October 31, 2024, Amphenol Corporation issued $1.5 billion in new senior notes to fund the acquisition of CommScope's Outdoor Wireless Networks and Distributed Antenna Systems segments. The issuance includes $250 million of 5.050% Senior Notes due 2027, $750 million of 5.000% Senior Notes due 2035, and $500 million of 5.375% Senior Notes due 2054. These notes are part of the Company's Registration Statement on Form S-3 and were sold under an underwriting agreement. The net proceeds, approximately $1.477 billion, will be used for the acquisition payment, related fees and expenses, and, if the acquisition is not completed, for general corporate purposes including debt repayment.
