Strive, Inc. Completes Acquisition of Semler Scientific, Inc.
On January 16, 2026, Strive, Inc. completed the acquisition of Semler Scientific, Inc., resulting in the conversion of Semler Common Stock to Strive Common Stock. This transaction is reflected in a supplemental indenture for Semler Scientific's outstanding 4.25% Convertible Senior Notes due 2030. As part of the merger, Strive has issued 100 million in aggregate principal amount of these notes, which are convertible into Strive Common Stock at an adjusted initial Conversion Rate of 275.3887 shares of Strive Common Stock per $1,000 principal amount of Notes. Additionally, Avik Roy has been appointed as Chief Strategy Officer of Strive, and Eric Semler has been appointed to the Strive Board as a Class II director. This event also led to the adoption of the 2026 Omnibus Equity Incentive Plan by Strive's stockholders. The merger positions Strive as the #11 largest public corporate holder of bitcoin globally.
