Asset Entities Inc. Announces Private Placement Agreement

On May 26, 2025, Asset Entities Inc. entered into subscription agreements with certain accredited investors for a private placement. The Company agreed to issue 346,043,350 shares of Class A common stock, pre-funded warrants for 209,771,462 shares, and warrants for 555,814,812 shares. The private placement is expected to close concurrently with the previously announced merger with Strive Enterprises, Inc., subject to conditions. The Company expects to receive approximately $750.3 million in gross proceeds. The securities were issued in reliance on exemptions from registration under the Securities Act of 1933.
