AST SpaceMobile Announces Acquisition of S-Band Spectrum Rights and Share Purchase Agreement

On August 5, 2025, AST SpaceMobile, Inc. announced entering into a Share Purchase Agreement with CCUR Holdings, Inc. and EllioSat Ltd., to acquire 100% of the equity interests in EllioSat Ltd. for a total consideration of $46.65 million, payable in cash, stock, or a combination. The transaction is expected to close during the second half of 2025, subject to customary closing conditions. Additionally, on August 6, 2025, AST SpaceMobile announced an agreement to acquire global S-Band spectrum priority rights for $64.5 million, to be paid in stock or cash, with $26 million paid at closing and deferred consideration of $38.5 million, partially subject to performance-based milestones.
