American Water Works Company Announces Settlement of Forward Sale Agreements and Capital Raising
American Water Works Company, Inc. (American Water) announced that on August 7, 2025, it entered into Additional Forward Sale Agreements with Wells Fargo Bank, JPMorgan Chase Bank, and Mizuho Markets Americas LLC (with Mizuho Securities USA LLC acting as agent) for the sale of 1,056,338 shares of its common stock. These agreements are related to the exercise of an equity option by the underwriters. Additionally, American Water Capital Corp., a subsidiary of American Water, closed the offering of $900 million aggregate principal amount of its 5.700% Senior Notes due 2055. American Water intends to use the net proceeds from these transactions for general corporate purposes.
