Axon Enterprise Announces Proposed $1.5 Billion Senior Notes Offering and Credit Agreement Amendment
On March 5, 2025, Axon Enterprise, Inc. announced its intention to offer $1,500.0 million aggregate principal amount of senior notes, comprising notes due 2030 and 2033, in a private offering exempt from Securities Act registration. The net proceeds will be used for general corporate purposes, including potential repurchase of existing convertible notes and funding growth initiatives. In conjunction with the offering, Axon also plans to amend its credit agreement to increase the revolving credit facility by $100.0 million and extend the maturity date.
