Boeing Enters Non-Prosecution Agreement with DOJ
Summary
On May 29, 2025, The Boeing Company entered into a Non-Prosecution Agreement (NPA) with the U.S. Department of Justice, resolving matters related to the Department's determination that the Company did not fulfill its obligations under a previously disclosed Deferred Prosecution Agreement. The NPA imposes a $487.2 million criminal monetary penalty, of which $243.6 million was paid in 2021 and the remaining $243.6 million was expensed in 2024. The NPA also requires Boeing to pay $444.5 million in compensation to the heirs and beneficiaries of those who died in the Lion Air Flight 610 and Ethiopian Airlines Flight 302 accidents, invest $455.0 million in compliance, safety, and quality programs, retain an independent compliance consultant, and undertake a review of its internal controls and policies. The NPA has a term of two years, subject to extension or earlier termination. The NPA is filed as Exhibit 10.1 to this report.
