Shedd as Senior Vice President and Controller, effective after the filing of its Annual Report on Form 10-K for the year ended December 31, 2026. Mr. Shedd, who will succeed Michael J. Cleary upon his retirement in 2027, brings nearly two decades of experience from Ernst & Young LLP, where he most recently served as an Assurance Partner. His compensation includes an annual base salary of $600,000, an annual incentive award with a target value of 70% of base salary, and an annual long-term incentive award with a target value of 170% of base salary starting in 2027. He will also receive a cash sign-on award of $300,000, subject to repayment conditions.
