Best Buy Announces Key Board and Executive Compensation Policy Changes
On March 5, 2024, Best Buy Co., Inc. announced that two directors, J. Patrick Doyle and Eugene A. Woods, will not stand for re-election upon the expiration of their terms in June 2024. The Board has appointed David W. Kenny as the new Board Chair and David C. Kimbell as the Compensation and Human Resources Committee Chair, effective from the resignation date. Additionally, the Company adopted a new policy that restricts executive officer cash severance benefits to 2.99 times the sum of the executive's base salary plus short-term incentive target, unless shareholder ratification is sought.
