Biogen Completes Acquisition of Apellis Pharmaceuticals
On May 14, 2026, Biogen Inc. announced the successful completion of its acquisition of Apellis Pharmaceuticals, Inc. for approximately $5.3 billion, excluding related fees and expenses and potential contingent value rights (CVR) payments. The acquisition, which was financed through a combination of cash and borrowings, includes the issuance of CVRs that could entitle holders to up to an additional $582 million if certain sales milestones are achieved. Additionally, Biogen entered into a new $2 billion credit agreement to fund the acquisition. The transaction is expected to be accretive to Biogen's non-GAAP diluted EPS in 2027 and materially increase its non-GAAP EPS compound annual growth rate through the end of the decade.
