TopBuild Terminates Acquisition of SPI Amid Regulatory Concerns
Summary
On April 22, 2024, TopBuild Corp. announced the mutual termination of its agreement to acquire Specialty Products and Insulation (SPI), originally announced on July 27, 2023. The termination followed the parties' inability to reach an agreement on terms acceptable to both and regulatory approval concerns within the Department of Justice's narrow view of the metal building insulation business. As a result, TopBuild paid a termination fee of $23 million. The Company also terminated the commitments related to its undrawn $550.0 million delayed draw term loan facility.
