Mr. Mirviss will serve as a senior advisor until February 27, 2026, with a prorated base salary of $705,000. The Company expects to enter into a Retirement Agreement with Mr. Mirviss, providing him with benefits consistent with the Executive Retirement Plan, 2025 Annual Bonus Plan, and Long-Term Incentive Program.
