The company intends to use the net proceeds, together with cash on hand, to redeem all €750 million outstanding of its 4.375% Notes due 2025 and to pay fees and expenses related to the offering. The Notes were offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, or outside of the United States, and were not registered under the Securities Act or any state securities laws.
