Coeur Mining Completes Acquisition of SilverCrest
On February 14, 2025, Coeur Mining, Inc. completed its acquisition of SilverCrest Metals Inc. SilverCrest shareholders received 1.6022 shares of Coeur common stock for each SilverCrest common share. Coeur issued 239,331,799 shares in reliance on Section 3(a)(10) of the Securities Act of 1933. Coeur's certificate of incorporation was amended to increase the number of authorized shares of Coeur Common Stock. Two SilverCrest directors joined Coeur's board of directors. Coeur issued a press release announcing the completion of the acquisition.
