Charter Communications Provides Financial Statements of Cox Communications

Charter Communications, Inc. has filed an amendment to its 8-K current report to provide the unaudited interim condensed consolidated financial statements of Cox Communications, Inc. as of and for the six months ended June 30, 2025, and the unaudited pro forma condensed combined financial statements of Charter Communications, Inc. as of and for the six months ended June 30, 2025 and for the year ended December 31, 2024. This filing is in connection with the previously disclosed transaction agreement entered into on May 16, 2025, by which Cox Enterprises, Inc. agreed to sell certain subsidiaries of Cox Communications, Inc. to Charter and contribute other assets to Charter Communications Holdings, LLC. The unaudited financial statements are intended to reflect the impact of the Transactions on the consolidated financial statements of Charter.
