Cleveland-Cliffs Appoints Jane M. Cronin to Board of Directors

On January 3, 2025, Cleveland-Cliffs Inc. appointed Jane M. Cronin to its Board of Directors, effective immediately. Ms. Cronin, an independent director, will receive compensation in the same manner as other nonemployee directors and will participate in the Company's 2021 Nonemployee Directors' Compensation Plan, which includes a prorated restricted share award and quarterly retainer fees. The Company also intends to enter into a Director and Officer Indemnification Agreement with Ms. Cronin, providing indemnification against expenses, costs, liabilities, and losses incurred in connection with her service on the Board.
