CleanSpark Announces Proposed Private Offering of $550 Million Convertible Notes
On December 12, 2024, CleanSpark, Inc. announced its intention to offer $550 million of convertible senior notes due 2030 in a private offering to qualified institutional buyers under Rule 144A. The company also expects to grant initial purchasers an option to purchase up to an additional $100 million of the notes. CleanSpark intends to use the net proceeds for capped call transactions, share repurchases, and for the repayment of its line of credit, capital expenditures, acquisitions, and general corporate purposes.
