On December 8, 2025, Campbell Investment Company, a subsidiary of The Campbell's Company, entered into a Sale and Purchase Agreement to acquire 49% of La Regina di San Marzano di Antonio Romano S.p.A. from the Italian Sellers for $286 million. Concurrently, Campbell Soup Supply Company LLC, another subsidiary, entered into an Equity Purchase Agreement to acquire 49% of La Regina Atlantica, LLC from the US Seller. The issuance of Campbell's Shares is subject to the exemption from registration under Section 4(a)(2) of the Securities Act of 1933 and Rule 506(b) of Regulation D.
