Coupang, Inc. Completes Acquisition of Greenoaks' Equity Interest in Surpique LP
On April 7, 2025, Coupang, Inc. completed the acquisition of Greenoaks' 19.9% equity interest in Surpique LP for an aggregate purchase price of $140,096,101, consisting of cash and the issuance of 5,465,099 shares of Coupang's Class A Common Stock. This transaction was executed in reliance on the exemption from registration under the Securities Act of 1933, and the shares will not be registered or offered for sale in the United States without compliance with the Securities Act.
