CrowdStrike Holdings, Inc. has amended and restated its Amended and Restated Certificate of Incorporation to limit the liability of certain officers to the fullest extent permitted by the General Corporation Law of the State of Delaware. This amendment was approved by the Company's stockholders at the Annual Meeting on June 17, 2026, and became effective immediately upon filing with the Secretary of State of the State of Delaware on June 22, 2026.
