CoreWeave Announces Merger Agreement with Core Scientific

On July 7, 2025, CoreWeave, Inc. announced the entry into a Merger Agreement with Core Scientific, Inc. Under the terms of the agreement, Core Scientific shareholders will receive 0.1235 shares of CoreWeave Class A common stock for each share of Core Scientific common stock. The transaction is subject to certain conditions, including stockholder approval and regulatory clearances. A termination fee of $270.0 million is applicable under specific circumstances.
