CoreWeave Announces Proposed $3.0 Billion Convertible Senior Notes Offering
On September 17, 2026, CoreWeave, Inc. announced its intention to offer $3.0 billion in aggregate principal amount of convertible senior notes due 2033 in a private offering to qualified institutional buyers. The company also intends to grant initial purchasers an option to purchase up to an additional $500 million aggregate principal amount of notes. CoreWeave plans to use a portion of the net proceeds to fund capped call transactions and the remainder for general corporate purposes. Additionally, CoreWeave entered into an Equity Distribution Agreement with several financial institutions to offer and sell up to 35,000,000 shares of its common stock, with no sales expected for at least 30 days after the purchase agreement for the convertible notes offering.
