Digital World Acquisition Corp. to Merge with TMTG; Delaware Lawsuit Update

Digital World Acquisition Corp. (Digital World) has disclosed that it, along with its subsidiary Merger Sub, has entered into a Merger Agreement with Trump Media & Technology Group Corp. (TMTG). The agreement, dated October 20, 2021, and amended several times, outlines the terms of the merger where Merger Sub will merge with and into TMTG, with TMTG surviving as a wholly owned subsidiary of Digital World. Upon completion, Digital World will change its name to Trump Media & Technology Group Corp. The Delaware Lawsuit, involving ARC Global Investments II, LLC, Digital World's sponsor, was denied by the Court of Chancery of the State of Delaware, which also requested the establishment of an escrow account for disputed shares. The Company intends to apply a conversion ratio to all shares of Class B common stock and issue additional shares to Non-ARC Class B Shareholders in escrow pending the lawsuit's conclusion.
