Dow Chemical Company Completes Issuance of $1.25 Billion in Notes
Summary
On February 7, 2024, The Dow Chemical Company entered into an Underwriting Agreement to issue and sell $1.25 billion in aggregate principal amount of notes, consisting of $600 million of 5.150% Notes due 2034 and $650 million of 5.600% Notes due 2054. The notes were offered and issued pursuant to the Company's registration statement on Form S-3 filed with the SEC on June 13, 2022. The offering was completed on February 9, 2024. The notes were issued under an Indenture dated July 26, 2019, and are subject to the legality opinion of Shearman & Sterling LLP.
