Darden Restaurants Completes Acquisition of Chuy’s Holdings, Inc.

(NYSE: DRI) announced the completion of its acquisition of Chuy’s Holdings, Inc. for an enterprise value of approximately $605 million. The transaction, which was approved by a majority of Chuy’s Holdings stockholders on October 10, 2024, follows the merger agreement announced on July 17, 2024. The acquisition was financed with proceeds from Darden’s $400 million offering of 4.350% senior notes due 2027 and a $350 million offering of 4.550% senior notes due 2029, issued on October 3, 2024. With this acquisition, Chuy’s, known for its Tex-Mex inspired dishes, joins Darden’s portfolio of differentiated brands. The completion of the merger also marks the cessation of Chuy’s Holdings common stock trading on Nasdaq.
