The net proceeds from the sale of the Notes were approximately $1.411 billion, after deducting Initial Purchasers' discounts and commissions and estimated Offering expenses. The Issuer used approximately $167.8 million of the net proceeds to pay the cost of the exchangeable note hedge transactions, $134.7 million to repurchase approximately 2.83 million shares of the Guarantor's common stock, and intends to use the remainder for general corporate purposes. In connection with the Notes, the Issuer terminated its senior secured revolving credit facility.
