Summary
On February 25, 2025, Emerson Electric Co. entered into agreements with underwriters for the public offering of €500,000,000 aggregate principal amount of 3.000% Notes due 2031 and 3.500% Notes due 2037 (Euro-Denominated Notes) and $500,000,000 aggregate principal amount of 5.000% Notes due 2035 (U.S. Dollar-Denominated Notes). The Euro-Denominated Notes are being sold to the underwriters at an issue price of 99.561% and 99.270% of the principal amount, respectively, and offered to the public at 99.936% and 99.770% of the principal amount. The U.S. Dollar-Denominated Notes are being sold at an issue price of 99.454% of the principal amount and offered at 99.904% of the principal amount. The offerings are expected to close on March 4, 2025, and are part of the Company's automatic shelf registration statement. The net proceeds will be used for general corporate purposes and to fund a portion of the purchase price in the proposed acquisition of Aspen Technology, Inc.
