Element Solutions shareholders will receive 0.500 shares of Solstice Common Stock and $10.00 in cash for each share of Element Solutions Common Stock. The transaction is subject to certain conditions, including regulatory approvals and stockholder approval. Element Solutions' former Executive Vice President, General Counsel, and Secretary, John E. Capps, will continue to receive his entitlements under his Change in Control Agreement. The merger agreement includes termination fees of up to $385,000,000 for each party.
