Summary
On May 1, 2025, Fidelity National Information Services, Inc. entered into a Term Loan Credit Agreement with Goldman Sachs Bank USA as the administrative agent, establishing a credit facility of up to $8 billion. The proceeds from the Term Loans will be used to fund the acquisition of the Issuer Solutions Business and related transaction costs. The Term Loans will accrue interest at rates based on Term SOFR plus a margin, subject to increase with each quarter the loans remain outstanding. The agreement includes customary financial covenants and leverage ratio limits.
