Fastly Announces Issuance of Convertible Senior Notes and Repurchase of Existing Notes
Summary
On December 2, 2024, Fastly, Inc. announced the issuance of $150.0 million principal amount of its 7.75% convertible senior notes due 2028 and the repurchase of approximately $157.9 million aggregate principal amount of its existing 0.00% Convertible Senior Notes due 2026. The issuance will settle on or about December 5, 2024. The 2028 Notes will accrue interest at a rate of 7.75% per annum, payable semi-annually, and will mature on June 1, 2028, unless earlier converted or repurchased. The issuance and any common stock issuable upon conversion have not been, and will not be, registered under the Securities Act of 1933. The 2028 Notes and common stock cannot be offered or sold except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act.
