The merger was executed through the conversion of Cadence's common stock and preferred stock into Huntington securities. The transaction was financed through the issuance of approximately 462 million shares of Huntington common stock. As part of the merger agreement, three former Cadence directors were appointed to Huntington's board. Additionally, Huntington issued 6,900 shares of Series L Preferred Stock, which will be represented by 6,900,000 depositary shares.
