Home Depot Amends By-Laws and Updates Shareholder Proposal Deadlines
Summary
On November 20, 2025, The Home Depot, Inc. amended its by-laws, which included aligning the advance notice window for director nominations and proposals to a single period beginning 120 days and ending 90 days prior to the first anniversary of the prior year's annual shareholders' meeting. As a result, for the next annual shareholders' meeting, notice of such proposal or nomination must be received no earlier than January 22, 2026, and no later than February 21, 2026. The changes also include clarifying certain informational requirements and updating certain other provisions. A copy of the amended By-Laws is filed as Exhibit 3.2.
