Hut 8 Corp. Completes Merger with Gryphon, Renamed as American Bitcoin Corp.
On September 3, 2025, Hut 8 Corp. completed the merger of its majority-owned subsidiary, Historical ABTC, with Gryphon Digital Mining, Inc. As a result of the merger, Historical ABTC's capital stock was converted into approximately 98% of Gryphon's stock, and Gryphon was renamed American Bitcoin Corp. Hut 8 Corp. now indirectly holds a majority of the issued and outstanding capital stock of the Combined Entity, including approximately 80% of the total voting power.
