Interpublic Group Announces Results of Early Participation in Exchange Offers and Consent Solicitations

The changes are part of a private exchange offer and consent solicitation led by Omnicom. As of August 22, 2025, Omnicom received consents from holders representing a majority in aggregate principal amount of each series of IPG's existing notes, sufficient to adopt the proposed amendments. The amendments will become operative upon the settlement date for the exchange offers and consent solicitations, expected within two business days after September 9, 2025, subject to certain conditions including the completion of Omnicom's pending acquisition of IPG.
