Simultaneously, the Board appointed Frank Engelen, Managing Partner and Chief Financial Officer of JAB Holding Company, as a new member of the Board, effective immediately. Ms. Rochet's resignation did not result from any disagreement with the Company or the Board. Mr. Engelen will serve for an initial term until the 2025 annual meeting of stockholders, or until his earlier death, resignation, or removal. He will not serve on any committees of the Board and is not a party to any transaction with the Company reportable under Regulation S-K. Mr. Engelen will participate in the compensation arrangements for non-employee directors as described in the Company's 2024 Proxy Statement.
