Kroger Extends Exchange Offers and Consent Solicitations for Albertsons Notes
Summary
On December 2, 2024, The Kroger Co. announced the extension of the expiration date for the previously announced offers to exchange (the 'Exchange Offers') any and all outstanding notes issued by Albertsons Companies, Inc. and related entities (the 'ACI Notes') for up to $7,441,608,000 aggregate principal amount of new notes (the 'Kroger Notes') and cash. Additionally, Kroger extended the expiration date for the related solicitations of consents (the 'Consent Solicitations') to adopt certain proposed amendments to the indentures governing the ACI Notes. The extension was made in connection with the pending merger between a wholly owned direct subsidiary of Kroger and Albertsons Companies, Inc. The Exchange Offers and Consent Solicitations are expected to settle promptly after the extended Expiration Date and are not conditioned upon the closing of the Merger.
