Cheniere Energy, Inc. has closed the sale of $1 billion aggregate principal amount of 5.200% Senior Notes due 2036 and $750 million aggregate principal amount of 6.000% Senior Notes due 2056. The notes were issued at 99.658% and 99.524% of par, respectively, and were sold in reliance on Rule 144A and Regulation S under the Securities Act of 1933. The notes are Cheniere's senior unsubordinated obligations and are not initially guaranteed by any of Cheniere's subsidiaries. Cheniere has also entered into a Registration Rights Agreement with Goldman Sachs & Co. LLC, agreeing to use commercially reasonable efforts to register the notes with the SEC within 360 days of the issuance date.
