Live Nation Entertainment Announces $1.3 Billion Convertible Senior Notes Offering

(NYSE: LYV) announced the launch and pricing of its private offering of $1.3 billion in aggregate principal amount of convertible senior notes due 2031. The company intends to use the net proceeds from this offering, along with borrowings from a new senior secured credit facility, to fund the redemption of its 5.625% Senior Notes due 2026, repay outstanding amounts under its existing credit facilities, pay related fees and expenses, and for general corporate purposes. The notes were issued pursuant to an indenture dated October 10, 2025, between the company and HSBC Bank USA, National Association, as trustee.
