RSUs will vest in eleven quarterly installments from April 1, 2026, to December 31, 2028, contingent on continued employment. PSUs are subject to performance-based and time-based vesting conditions, with one-third settling within 30 days of performance certification and the remaining two-thirds vesting annually. PSUs are also subject to a Relative Total Shareholder Return modifier over a three-year period, with potential payouts up to 249% of the target number of PSUs. Unvested PSUs will be treated as RSUs if a Change in Control occurs before full vesting.
