Details

The notes were sold at a price of 99.823% of the principal amount and will accrue interest from March 7, 2024, and mature on March 15, 2029. The net proceeds will be used for the repayment of a portion of the debt outstanding under the Company’s commercial paper program and the payment of fees and expenses related to the offering. The notes are guaranteed by certain subsidiaries of the company. An opinion of counsel addressing the validity of the notes is filed as Exhibit 5.1.
