The Company entered into a 364-Day Credit Agreement with Mizuho Bank, Ltd. as administrative agent and a Three-Year Credit Agreement with Bank of America, N.A. as administrative agent. Both agreements provide up to $750.0 million in senior, unsecured delayed-draw term loans to finance the acquisition. The availability of the term loans is subject to the closing of the acquisition and certain conditions.
