Omnicom and IPG Announce High Participation in Exchange Offers and Consent Solicitations
Summary
On August 25, 2025, Omnicom Group Inc. and The Interpublic Group of Companies, Inc. announced high participation in their previously announced exchange offers and consent solicitations for IPG's existing notes. As of August 22, 2025, Omnicom had received consents from holders representing a majority in aggregate principal amount of each series of the existing IPG notes, sufficient to adopt proposed amendments to the existing IPG indentures. IPG executed a thirteenth supplemental indenture to effect these amendments, which will become operative upon the settlement date for the exchange offers and consent solicitations, subject to certain conditions including the completion of Omnicom's pending transaction to acquire IPG. Omnicom anticipates extending the expiration date if the merger is not completed by the expected settlement date.
