issued and sold $500 million aggregate principal amount of 5.000% Senior Notes due 2034. The Notes, governed by an Indenture dated May 20, 2019, and supplemented by a Sixth Supplemental Indenture dated August 19, 2024, will mature on August 19, 2034, and bear interest at a rate of 5.000% per year. The Notes are general unsecured senior obligations of the Company, ranking equally with other existing and future unsecured and unsubordinated indebtedness. O'Reilly may redeem the notes under certain conditions, and holders have the right to require the Company to repurchase the Notes in the event of a Change of Control Triggering Event.
