On August 24, 2025, Shailesh Jejurikar, a member of the Board of Directors of Otis Worldwide Corporation and Chair of the Compensation Committee, notified the Company that he will resign from the Board effective September 9, 2025. The resignation is not due to any disagreement with the Company. As a result, the Board decreased its size from eleven to ten directors, and Kathy Hopinkah Hannan rotated off of the Audit Committee and Nominations and Governance Committee, replacing Mr. Jejurikar as Chair of the Compensation Committee.
