Blue Owl Capital Announces Acquisition of Atalaya Capital
Summary
Blue Owl Capital Inc. has announced an agreement to acquire substantially all assets of Atalaya Capital Management LP and its affiliates. The acquisition is expected to close in the second half of 2024, subject to customary closing conditions. As part of the transaction, Blue Owl Capital will issue approximately 20,016,013 common units in Blue Owl Capital Holdings LP and Blue Owl Capital Carry LP, along with an additional cash payment of approximately $100 million. Subject to the achievement of certain revenue targets, the Company will deliver earnout consideration in the form of common units and class C shares, with an aggregate value of up to approximately $350 million payable in 2027 and 2029.
