On September 16, 2024, Royal Caribbean Cruises Ltd. (NYSE: RCL) announced the pricing of its private offering of $1.5 billion aggregate principal amount of 5.625% senior unsecured notes due 2031. The Company intends to use the proceeds to redeem and/or repay certain existing indebtedness, including all of its outstanding 7.250% Senior Notes due 2030 and to repay in full all obligations under its Silver Dawn finance lease. The Notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
