Royal Caribbean Cruises Ltd. completed its previously announced offering of $1.5 billion aggregate principal amount of 5.375% Senior Notes due 2036. The offering was pursuant to an underwriting agreement dated September 22, 2025, among the Company and several underwriters. The Notes were issued under an indenture dated July 31, 2006, as supplemented by a Fourth Supplemental Indenture dated October 1, 2025. The Company received net proceeds of approximately $1.484 billion, which it intends to use to finance the delivery of Celebrity Xcel and to redeem, refinance, or repurchase existing indebtedness. Interest on the Notes accrues at a rate of 5.375% per annum and is payable semi-annually in arrears starting January 15, 2026.
